1. Agreement to Terms

By accessing or using the Vensale website (vensale.app), mobile application, or any related services, you confirm that you are at least 18 years of age, have read and understood these Terms & Conditions, and agree to be legally bound by them. If you do not agree, please discontinue use of our platform immediately.

These Terms constitute a legally binding agreement between you ('User', 'Customer', or 'you') and Vensale ('we', 'us', or 'our'), a Nigerian e-commerce company with registered operations at Isashi, Ojo, Lagos, Nigeria. We reserve the right to modify these terms at any time, and your continued use constitutes acceptance of any modifications.

2. Use of Our Services

2.1 Permitted Use

You may use Vensale solely for lawful purposes and in accordance with these Terms. You agree not to use our platform in any way that violates applicable Nigerian law, international law, or any other applicable regulations.

• Access and browse Vensale's product catalogue for personal or commercial use
• Create and manage a single buyer or seller account
• Purchase products and services offered on the platform
• Contact Vensale customer support at info@vensale.app for legitimate enquiries

2.2 Prohibited Activities

The following activities are strictly prohibited on the Vensale platform:

• Using automated tools, bots, or scrapers to extract data from vensale.app
• Engaging in fraudulent transactions, chargebacks abuse, or providing false information
• Attempting unauthorised access to any part of our systems or databases
• Uploading malicious code, viruses, or software designed to disrupt our platform
• Impersonating Vensale, its staff, or any other user or entity
• Listing counterfeit, stolen, prohibited, or illegal goods on the platform

3. Account Registration & Security

When you create a Vensale account, you must provide accurate, current, and complete information including a valid email address, phone number, and delivery address. You are solely responsible for safeguarding your login credentials.

You must notify us immediately at info@vensale.app if you suspect any unauthorised use of your account. Vensale reserves the right to suspend or terminate accounts that are found to be compromised, used fraudulently, or in violation of these Terms.

4. Products, Pricing & Availability

4.1 Product Listings

Vensale hosts listings from multiple sellers. We strive to ensure product descriptions, images, and prices are accurate; however, we do not warrant that all information is error-free. Where Vensale acts as a marketplace facilitator, individual sellers are responsible for the accuracy of their listings.

4.2 Pricing & Taxes

All prices are displayed in Nigerian Naira (₦) and are inclusive of applicable VAT unless stated otherwise. Prices are subject to change without notice. Vensale reserves the right to cancel any order where a product has been listed at an incorrect price due to technical error.

4.3 Availability

Product availability is subject to stock levels and may change at any time. If an item becomes unavailable after your order is confirmed, we will notify you promptly and provide a full refund or offer an alternative product.

5. Intellectual Property

All content on vensale.app — including the Vensale name, logo (the orange 'V' shopping cart icon), website design, text, graphics, product photography, software, and data — is the property of Vensale or its licensors and is protected under Nigerian and international intellectual property law.

You may not reproduce, distribute, modify, or create derivative works from any Vensale content without our prior written consent.

6. Limitation of Liability

To the maximum extent permitted under Nigerian law, Vensale shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, including but not limited to loss of profits, data, or goodwill.

Our total liability to you for any claims shall not exceed the total amount you paid to Vensale in the three (3) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vensale and its officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, or expenses — including reasonable legal fees — arising out of your violation of these Terms or your use of the Vensale platform.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the use of the Vensale platform shall first be subject to good-faith negotiation between the parties.

If negotiation fails within 30 days, the parties agree to refer the dispute to mediation before commencing litigation in Lagos State courts.
